Welcome to Clixy. These Terms of Service ("Terms") govern your use of our website and the services we provide. By accessing our website or using our services, you agree to be bound by these Terms.

1. Services

Clixy provides LinkedIn profile management, content creation, network growth, and outreach services designed to generate qualified business meetings for our clients ("Services"). The specific scope of Services will be detailed in the plan you select.

2. Client Obligations

To effectively provide our Services, you agree to:

• Provide accurate and complete information about your business, ideal customer profile, and objectives.
• Grant necessary access to your LinkedIn account and any other required platforms.
• Collaborate with us in a timely manner for approvals and feedback.

3. Fees and Payment

Our pricing is detailed on our website. We offer monthly retainer plans and a pay-per-meeting option.

• Retainers: All retainer plans require a minimum commitment of three (3) months, billed monthly in advance. After the initial three-month period, the service continues on a month-to-month basis.
• Pay Per Meeting: This plan includes a one-time setup fee, with subsequent payments based on the number of qualified meetings secured.
• Late Payments: Payments not made within 15 days of the due date may result in a suspension of Services.

4. Term and Termination

The initial term for retainer plans is three (3) months. After this period, either party may terminate the agreement with 30 days' written notice. Upon termination, you will retain ownership of all assets, lists, and playbooks created for you during our engagement.

5. Qualified Meeting Guarantee

We guarantee a minimum number of qualified meetings per month as specified in your selected plan. A "qualified meeting" is defined as a scheduled appointment with a decision-maker or evaluator who fits your ideal customer profile and has expressed clear interest in your services. If we fail to meet this target, we will, at your choice, either make up the shortfall the following month at no additional cost or provide a credit towards your next invoice.

6. Intellectual Property

You retain all rights to your pre-existing intellectual property. You grant us a limited license to use your name, logo, and other materials solely for the purpose of providing the Services. All content, strategies, and materials we create for you during the engagement become your property upon full payment of our fees.

7. Confidentiality

We will treat all information you provide as confidential and will not disclose it to any third party without your consent, except as required by law.

8. Limitation of Liability

Our liability for any claims arising out of this agreement will not exceed the total fees you paid to us in the three (3) months preceding the claim. We are not responsible for any actions taken by LinkedIn or other third-party platforms that may affect your account.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Clixy is based, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
